1. Acceptance of terms
These Terms of Service ("Terms") govern access to and use of the Worklucent AI platform (the "Service"), operated by [Company legal name] ("we", "us"), a company registered in India under CIN [add CIN]. By creating an account or using the Service, the customer ("you") agrees to these Terms.
2. The service
Worklucent AI provides a Windows agent, dashboard, and reporting tools that allow a company to monitor activity on devices it authorizes, for the purpose of understanding workforce productivity. The Service is provided on a subscription basis as described in the applicable order form or plan.
3. Customer responsibilities
- You are solely responsible for obtaining any legally required notice, consent, or authorization from employees before deploying the agent on their devices.
- You will use the Service in compliance with applicable labor, privacy, and data protection law in every jurisdiction where you deploy it.
- You will keep your enrollment keys, admin credentials, and API access secure, and are responsible for activity under your account.
- You will not use the Service to capture data types it is not designed to capture (e.g. by circumventing agent restrictions to log raw keystrokes).
4. Acceptable use
You agree not to: reverse-engineer the agent or platform except as permitted by law; resell or sublicense the Service without our written consent; use the Service to violate any person's legal rights; or attempt to access another customer's tenant data.
5. Fees and payment
Fees are as set out in your order form or the pricing plan you selected, billed in [currency, e.g. INR] on the agreed cycle. Late payment may result in service suspension after notice, as detailed in your order form.
6. Data ownership
As between the parties, you own the activity, employee, and device data generated through your use of the Service. We process it on your behalf as described in our Privacy Policy and will not use it for any purpose outside operating and improving the Service, except as you direct or law requires.
7. Service availability
We aim to keep the Service available and will communicate planned maintenance windows in advance where practical. [Add specific uptime commitment / SLA here if you offer one.]
8. Termination
Either party may terminate for convenience at the end of a billing cycle with [notice period] written notice, or immediately for material breach that is not cured within [cure period] of notice. 9. Warranties and liability
The Service is provided "as is" except as expressly warranted in your order form. 10. Governing law
